NEXTECH3D.AI DISPOSES OF SECURITIES OF ARWAY CORPORATION

Nextech3D.AI Corp. has disposed of ownership and control of an aggregate of two million common shares of ARway Corp., effective May 17, 2024.

The shares were disposed of pursuant to a private purchase and sale transaction and represent approximately 7 per cent of all issued and outstanding shares as of May 17, 2024, resulting in a corresponding change to the aggregate percentage ownership of the company by Nextech3D.AI.

Immediately before the transaction, Nextech3D.AI held an aggregate of 12,999,693 shares, representing approximately 45.6 per cent of the issued and outstanding shares. Immediately following the transaction, Nextech3D.AI held 10,999,693 shares, representing approximately 38.6 per cent of the issued and outstanding shares at May 17, 2024.

The shares were disposed of for an aggregate purchase price of $100,000. The shares were disposed of in a private transaction and not through the facilities of any stock exchange. The holdings of securities of the company by Nextech are managed for investment purposes, and Nextech could increase or decrease its investment in the company at any time or continue to maintain its current investment position, depending on market conditions or any other relevant factor.
