The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 21, 2023.

Number of shares:  1,667,033 shares

Purchase price:  60 cents per share

Warrants:  1,667,033 share purchase warrants to purchase 1,667,033 shares

Warrant exercise price:  70 cents for a one-year period

Number of placees:  21 placees

Total existing insider involvement:  417,000 (one insider)

Total pro group involvement:  255,500 (four pro groups)

Finder's fee:  $52,500.99 cash and 87,501 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 70 cents for a period of one year from the date of issuance.

The company issued news releases on Aug. 31, 2023, and Sept. 11, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
