AVANTI HELIUM ANNOUNCES PRIVATE PLACEMENT FINANCING OF $500,000

Avanti Helium Corp. has arranged a private placement financing of 5,555,555 units of the company at a price of nine cents per unit for gross proceeds of $500,000.

Each unit under the offering will consist of one common share and one share purchase warrant, with each warrant entitling the holder to purchase one additional share at a price of 15 cents per share for a period of three years from the date of issue.

Chris Bakker, chief executive officer and director of the company, will subscribe for 2,944,444 units for gross proceeds of $265,000. Such participation would be considered a related party transaction, as defined under Multilateral Instrument 61-101. The offering will be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101, as it is less than 25 per cent of the market capitalization of the company.

The proceeds of the offering will be used for continuing costs associated with the company's projects and general working capital requirements. All securities issued under the offering, including securities issuable on the exercise thereof, are subject to a hold period expiring four months and one day from the date of issuance.

The offering is subject to the acceptance of the TSX Venture Exchange.
