BENTON INCREASES PRIVATE PLACEMENT TO $2,400,000 AND FILES FOR CONDITIONAL APPROVAL

Due to strong investor demand, Benton Resources Inc. has increased its non-brokered private placement, previously announced on Sept. 17, 2025, to up to 43,636,364 5.5-cent units, for aggregate gross proceeds of up to $2.4-million. Further, the company has filed documents with the TSX Venture Exchange seeking conditional approval to close the financing.

Each unit consists of one common share of the company and one common share purchase warrant, each warrant entitling the holder to acquire an additional common share of the company at 10 cents for a period of five years from the date of issue. The company will use the proceeds from the private placement to advance its Newfoundland projects and for general working capital purposes.

The financing is subject to TSX Venture Exchange approval, and all securities issued pursuant to the financing will be subject to a four-month hold from the date of issue.

Qualified person

Stephen House (PGeo), vice-president of exploration for Benton, the qualified person under National Instrument 43-101, has approved the scientific and technical disclosure in this news release and prepared or supervised its preparation.

Further potential for discovery is excellent given the extensive number of untested geophysical targets and copper-gold soil anomalies. Phase 1 and 2 drill programs returned impressive results including 25.42 metres of 5.51 per cent Cu, including 9.78 m of 8.31 per cent Cu and 1.00 m of 12.70 per cent Cu. Drilling at the South Pond gold zone, approximately 7.5 km north of the Great Burnt copper-gold zone, has confirmed a robust gold-mineralized system over 2.5 km with results of 74.20 m of 1.43 grams per tonne gold and 43.75 m of 1.62 g/t Au, and the zone is open for expansion in all directions.
