DIALOGUE ANNOUNCES ANNUAL GENERAL SHAREHOLDER MEETING VOTING RESULTS

Shareholders voted in favour of all items of business put forth by Dialogue Health Technologies Inc. at its annual general meeting of shareholders held on May 23, 2023.

Election of directors

The seven candidates proposed as directors were duly elected directors of the company by a majority of the votes cast by the shareholders present or represented by proxy at the meeting (see an attached table).

As disclosed in the management proxy circular related to the meeting, Caisse de depot et placement du Quebec (CDP) notified the company ahead of the meeting that it would not put forward a director nominee, and the nomination rights agreement between the company and CDP is being terminated.

Appointment of auditor

A ballot was conducted with respect to the appointment of Deloitte LLP as the company's auditor.

Votes for:  35,511,979 (99.98 per cent)

Votes withheld:  7,486 (0.02 per cent)
