SUN LIFE COMPLETES PREVIOUSLY ANNOUNCED ACQUISITION OF DIALOGUE

Dialogue Health Technologies Inc. has completed the previously announced statutory plan of arrangement under the provisions of the Canada Business Corporations Act involving the company and Sun Life Financial Inc. Pursuant to the Plan of Arrangement, Sun Life indirectly acquired all of the issued and outstanding common shares in the capital of the Company (the "Shares") (other than those already owned indirectly by Sun Life and certain Shares owned by members of the Company's management) for $5.15 per Share in cash (the "Consideration").

With the Plan of Arrangement now complete, the Company's Shares are expected to be delisted from the Toronto Stock Exchange (the "TSX") shortly after the date hereof. The Company also will apply to cease to be a reporting issuer under applicable Canadian securities laws.

Registered shareholders of the Company are reminded to submit a properly completed and signed letter of transmittal, together with all required documents, including the share certificate(s) and/or Direct Registration System (DRS) Advice(s) representing Shares formerly held by them, as applicable, to Computershare Investor Services Inc.
