The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 14, 2023.

Number of shares:  10 million shares

Purchase price:   15 cents per share

Warrants:   five million share purchase warrants to purchase five million shares

Warrant exercise price:  25 cents for a two-year period

Number of placees:  56 placees

Aggregate existing insider involvement:  three insiders, 3,586,666 shares

Aggregate pro group involvement:  seven groups, 873,333 shares

Finder's fee:  $22,673.50
