(CSE: COOL), (OTCQB: CLABF), (Frankfurt: LD6, WKN: A3CSSU) (the "Company" or "Core One") is pleased to announce that it proposes to complete a non-brokered private placement (the "Financing") of up to 3,125,000 units of the Company (each, a "Unit") at a price of $0.32 per Unit, for gross proceeds of up to $1,000,000. Each Unit will consist of one (1) common share (each, a "Share") of the Company and one (1) common share purchase warrant (each, a "Warrant"). Each Warrant will entitle the holder, on exercise, to purchase one (1) Share for a period of five (5) years at an exercise price of $0.43 per Share. The Company intends to use the net proceeds of the Financing for working capital and general corporate purposes. In connection with the Financing, the Company may pay finders' fees and/or issue finders' warrants on the same terms as the Warrants, to eligible parties who have assisted by introducing subscribers to the Financing. In connection with closing of the Financing, the Company will issue common shares to Amalfi Corporate Services Ltd., equal to 2% of the aggregate Units issued, in consideration for administrative services rendered in support of the Financing. Pursuant to applicable securities laws, all securities issued under the Financing will be subject to a statutory hold period of four months and one day.
