EDGE TOTAL INTELLIGENCE ANNOUNCES SECOND GRANT OF RESTRICTED SHARE UNITS TO LOTUS DOMAINE FUND III, LP

Further to its news release dated Sept. 2, 2025, Edge Total Intelligence Inc. has granted 1,145,913 restricted share units (RSUs) to Lotus Domaine Fund III LP for consulting services.

The grant represents the second instalment of RSUs under the consulting agreement between the company and Lotus effective Aug. 29, 2025. Under the agreement, Lotus provides guidance on capital markets and private-equity fundraising, investment opportunities, market positioning, acquisition candidates and potential acquirers of the company. The agreement continues until Dec. 31, 2027, unless terminated earlier in accordance with its terms.

The agreement excludes investor relations activities, as defined in the policies of the TSX Venture Exchange, as well as market-making and other services requiring registration or filings with the TSX-V.

The RSUs have been granted as share-settled share units under the company's omnibus share incentive plan and will vest one year from the date of grant. Upon settlement, each vested RSU will entitle Lotus to receive one subordinate voting share of the company.
