The TSX Venture Exchange has accepted for filing documentation pertaining to a share sale and purchase agreement dated Sept. 6, 2022, as amended on Oct. 30, 2022, among the company and several arm's-length parties, whereby the company has agreed to acquire all shares of Management X Pty. Ltd., which holds a 100-per-cent undivided interest in the West Newcastle Range, Teddy Mountain and Ardmore East projects.

Under the terms of the agreement, the company has agreed to pay $200,000 in cash and issue up to 598,843 common shares at a deemed price of $2.296 per share on closing and up to 400,000 common shares within eight years from the date of the agreement and when certain triggering events occur.
