CYBEATS GRANTED MCTO

Further to the press release of April 19, 2024, Cybeats Technologies Corp. has been granted a management cease trade order by the Ontario Securities Commission, pursuant to the company's application made under National Policy 12-203 (Management Cease Trade Orders). The MCTO as issued is in connection with the delay by the company in filing its annual audited consolidated financial statements and related management's discussion and analysis for the year ended Dec. 31, 2023, by the prescribed deadline of April 29, 2024. The issuance of the MCTO will not affect the ability of persons who have not been directors, officers or insiders of the company to trade in their securities.

The company anticipates that it will be in a position to prepare and file the filings on or prior to June 30, 2024.

The company confirms that: (i) it will satisfy the provisions of the alternative information guidelines under NP 12-203 by issuing biweekly default status reports in the form of news releases for so long as it remains in default of the filing requirements to file the filing statements within the prescribed period of time; (ii) the company is not subject to any insolvency proceedings; and (iii) there is no other material information relating to its affairs that has not been generally disclosed.
