The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 4, 2023, and Dec. 5, 2023.

Number of shares:  2,144,858 flow-through shares

Purchase price:  70 cents per flow-through share

Number of placees:  two placees

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued news release on Dec. 5, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
