DOUBLEVIEW GOLD CORP CLOSES PRIVATE PLACEMENT
Doubleview Gold Corp. has closed its private placement for aggregate proceeds of $76,000 comprising 200,000 units.
Each unit shall consist of one common share of the company and one common share purchase warrant at a price of 38 cents per unit. Each warrant entitles the holder thereof to purchase one common share of the company at an exercise price of 48 cents per warrant share for a period of six months following the closing date and thereafter at an exercise price of 55 cents per warrant share for a period of 18 months. The warrants are subject to early termination if the underlying shares trade at a volume weighted average price equal to or greater than 65 cents for five consecutive days in the 24-month period from the date of issuance.
The proceeds of the sale of the shares will be used for contribution and maintenance of the company's exploration work on its British Columbia projects, particularly for the polymetallic Hat project, located in northwestern British Columbia. This work includes drilling, geological advisory and analytical services, as well as other development work and general working capital purposes.
In connection with this private placement, no finders' fees were paid and no finders' warrants were issued.
Pursuant to applicable Canadian securities laws and in accordance with the exchange policies, all securities issued under this private placement will be subject to applicable resale restrictions under applicable securities laws and to the exchange hold period of four months and one day from the date of issuance.
The closing of the offering is subject to receipt of all necessary regulatory approvals including the TSX Venture Exchange.

The Hat deposit, located in northwestern British Columbia, is a polymetallic porphyry project with major resources of copper, gold, cobalt and the potential for scandium. As one of the region's significant sources of critical minerals, the Hat deposit has undergone targeted exploration and development.
