DYE & DURHAM ANNOUNCES VOTING RESULTS FROM ITS ANNUAL GENERAL MEETING OF SHAREHOLDERS

Dye & Durham Ltd. has released the results of voting at its annual general meeting of shareholders held on Dec. 19, 2023.

At the meeting, each of the seven nominees proposed for election by the company was elected as a director of the company. Mario Di Pietro and David MacDonald, who have both served on the board since the company's initial public offering, did not stand for re-election. Colleen Moorehead and Peter Brimm were elected as new directors to the company's board.

According to proxies received in advance of the meeting, the voting results were as shown in the attached table.

In addition, an ordinary resolution approving the appointment of Ernst & Young LLP as the company's auditor until the next annual meeting of the shareholders of the company or until its successor is duly appointed and authorizing the directors of the company to fix its remuneration was passed by 99.97 per cent of the votes represented at the meeting.

Further, an advisory resolution with respect to the company's approach to executive compensation, as fully described in the company's management information circular, was passed by 95.83 per cent of the votes represented at the meeting.
