Purchase price:  15 cents per share

Warrants:  19,045,253 share purchase warrants to purchase 19,045,253 shares

Warrant exercise price:  25 cents for a two-year period

Number of placees:  74 placees

Total existing insider involvement:  1.12 million (four insiders)

Total pro group involvement:  2,665,000 (10 pro groups)

Finder's fee:  $144,007.29

The company issued a news release on Sept. 13, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
