1844 ANNOUNCES FINAL CLOSING OF NON-BROKERED PRIVATE PLACEMENT FLOW-THROUGH COMMON SHARES

1844 Resources Inc., further to its news release of July 21, has closed the non-brokered private placement of flow-through (FT) common shares in the capital of the company at eight cents per FT share by the issuance of four million FT shares for gross proceeds of $320,000.

In connection with the closing of the offering, the company has paid cash finders' fees of $19,200, being 6 per cent of the aggregate proceeds from the sale of the FT shares to purchasers introduced by the finders, and issued 240,000 non-transferable share purchase warrants, being 6 per cent of the number of FT shares sold under the offering to purchasers introduced by the finders. Each finder's warrant entitles the holder thereof to purchase one common share in the capital of the company at a price of eight cents per share until July 27, 2024. The securities issued under the offering are subject to a four-month-and-one-day hold period ending on Nov. 28, 2022.
