The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 23, 2023, and Nov. 10, 2023.

Number of shares:  3,587,500 flow-through common shares

Purchase price:  three cents per flow-through common share

Warrants:  1,793,750 share purchase warrants to purchase 1,793,750 shares

Warrants exercise price:  five cents per share during a period of 36 months from the date of closing

Number of placees:  11 placees

Total pro group involvement:  337,500 (one pro group)

Finder's fee:  $4,860 cash and 162,000 warrants

Compensation warrant terms:  Each compensation warrant entitles the holder to purchase one common share at an exercise price of five cents during a period of 36 months from the date of closing.

The company issued a news release on Dec. 29, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
