1844 RESOURCES ANNOUNCES EXTENSION OF NON-BROKERED PRIVATE PLACEMENT

Subject to the approval of the TSX Venture Exchange, 1844 Resources Inc. has extended the closing date of its previously announced non-brokered private placement, originally announced on July 14, 2026, to Sept. 11, 2026. As previously announced by the company in a news release issued on July 14, 2026, the offering consists of flow-through units at a price of 3.5 cents per flow-through unit and hard-dollar units at a price of three cents per hard-dollar unit.

On Aug. 11, 2026, the company announced the completion of the first tranche of the offering, pursuant to which it issued:

• 14.49 million flow-through units for gross proceeds of $507,150; and
• 3,831,666 hard-dollar units for gross proceeds of approximately $114,950.

The aggregate gross proceeds raised in the first closing were approximately $622,100.

The extension will provide the company with additional time to complete the second and final tranche of the offering. Completion of the second and final tranche remains subject to receipt of all necessary regulatory approvals, including acceptance by the exchange. All securities issued pursuant to the offering will be subject to a statutory hold period of four months and one day from their respective dates of issuance.

All other terms of the offering remain unchanged and are as disclosed in the company's news releases issued on July 14, 2026, and Aug. 11, 2026.
