1844 RESOURCES ANNOUNCES SECOND AND FINAL CLOSING OF PRIVATE PLACEMENT FOR AGGREGATE GROSS PROCEEDS OF $947,650

Pursuant to news releases dated July 14, 2026, Aug. 11, 2026, and Aug. 24, 2026, 1844 Resources Inc. has closed the second and final tranche of its previously announced non-brokered private placement, raising additional gross proceeds of $325,550 in the second closing.

Pursuant to the second closing, the company issued:

  • 6.5 million hard-dollar units at a price of three cents per hard-dollar unit for gross proceeds of $195,000; and
  • 3.73 million flow-through units at a price of 3.5 cents per flow-through unit for gross proceeds of $130,550.

Following completion of both closings, the company issued an aggregate of:

  • 18.22 million flow-through units for aggregate gross proceeds of $637,700; and
  • 10,331,666 hard-dollar units for aggregate gross proceeds of $309,950.

Combined with the proceeds raised in the first tranche, the company has raised an aggregate total of $947,650.

Each flow-through unit consists of one common share of the company to be issued as a flow-through share within the meaning of the Income Tax Act (Canada) and one-half of one share purchase warrant. Each hard-dollar unit consists of one share and one-half of one warrant. Each warrant entitles the holder to acquire one additional share at an exercise price of five cents per warrant share for a period of 24 months from the date of issuance subject to the policies of the TSX Venture Exchange.

Use of proceeds

All of the gross proceeds from the sale of the flow-through units will be used to incur eligible Canadian exploration expenses that qualify as critical mineral flow-through mining expenditures, including expenditures related to the company's planned 3,000-metre diamond drilling program at its Sullipek East copper project, part of the company's SV2 project located in the Gaspe Peninsula of Quebec. Among other costs, the company intends to use the net proceeds from the hard-dollar units as follows: (i) 40 per cent for general working capital and corporate purposes; (ii) 30 per cent to support the company's exploration activities; (iii) 20 per cent to pay finders' fees and expenses associated with the offering; and (iv) 10 per cent for investor relations and marketing activities.

In connection with the second closing of the offering, the company paid cash finders' fees of approximately $2,205 and issued 42,000 broker warrants to eligible finders. Each broker warrant entitles the holder to acquire one additional share at the exercise price for a period of 24 months from the closing date in accordance with applicable securities laws and the policies of the TSX-V.

All securities issued pursuant to the offering are subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable Canadian securities laws.
