The TSX Venture Exchange has accepted for filing documentation with respect to an arm's-length acquisition of a portfolio of 18 royalties and 32 lithium properties, located in Ontario, Canada, under the following terms.

Consideration:  $1,689,000 cash and 2.25 million common shares
