The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of all the issued and outstanding shares of Minera CRC S.A.C., which holds a 100-per-cent interest in the Mallay silver mine and the Tres Cerros gold/silver exploration property.

Consideration:  $2,215,010 (U.S.) cash, 17,864,773 common shares and $14-million (U.S.) in work expenditures
