The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 8, 2023.

Number of shares:  4,621,414 units (Each unit consists of one common share and one common share purchase warrant.)

Purchase price:  seven cents per unit

Warrants:  4,621,414 common share purchase warrants to purchase 4,621,414 common shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  five placees

Total existing insider involvement:  2,071,414 (one insider)

Finder's fee:  $840 cash and 12,000 warrants

The company issued a news release on Sept. 11, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
