GOOD NATURED PRODUCTS INC. ANNOUNCES AGM RESULTS

Good Natured Products Inc. has released the results of its annual general meeting held on July 14, 2023.

Shareholders elected all five nominees to the board of directors of the company listed in the management information circular dated June 5, 2023. Accordingly, the board of the company now comprises Paul Antoniadis, Keith Spencer, Joel Marsh, Tami Kozikowski and Karl Sanft.

Shareholders also adopted all other resolutions submitted for their approval, including setting the number of directors of the company at five, the reappointment of Deloitte LLP as the company's auditor and the approval of certain amendments to the company's omnibus equity incentive compensation plan.

Under the terms of the incentive plan and in accordance with the policies of the TSX Venture Exchange, the company obtained disinterested shareholder approval of amendments to the incentive plan, including increasing the number of common shares of the company reserved for issuance under the incentive plan from 29,014,495 to 31,437,896 common shares, being approximately 13 per cent of the aggregate number of issued and outstanding common shares of the company as at June 5, 2023, and making other changes to reflect the TSX-V's new securities-based compensation policies.
