News Release 3 May 18, 2023 GoldHaven Announces Offering of Convertible Debenture Vancouver, British Columbia - (May 18, 2023)- GoldHaven Resources Corp. (CSE: GOH) (OTCQB: GHVNF) (FSE: 4QS) ("GoldHaven" or the "Company") announces the offering of unsecured convertible debentures and detachable share purchase warrants raising $60,000 (the "Offering"). The debentures will mature on the date that is the earlier of (i) receipt of funding to retire the debentures, or (ii) the 1st anniversary of the date of issuance of the debentures (either, the "Maturity Date"). The debentures are convertible at the conversion rate of $0.06 until the Maturity Date. The debentures bear an interest rate of 10% per annum, calculated annually and not in advance. Interest shall be due and payable on the earlier of the Maturity Date or the date that the Company may at its discretion redeem the debentures. The detachable share purchase warrants shall be exercisable at the price of $0.09 per share during a term of one year. The Company further reports that David Smith has made the decision to step-down as President of GoldHaven, he will continue as a member of the board of directors. About GoldHaven Resources Corp.
