The TSX Venture Exchange has accepted for filing the company's proposal to issue 2,817,595 shares at a deemed price of 40 cents per share to settle outstanding debt for $1,127,038.

Number of creditors:  six creditors

Total non-arm's-length party involvement:  $277,500, 693,750 shares at 40 cents (two parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
