The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on July 20, 2023.

Number of shares:  22.25 million shares

Purchase price:  36 cents per share

Warrants:  21,146,381 share purchase warrants to purchase 21,146,381 shares

Warrant exercise price:  55 cents for an 18-month period

Number of placees:  22 placees

Total existing insider involvement:  55,000 (one insider)

Total pro group involvement:  8,958,889 (one pro group)

Agent's fee:  Cantor Fitzgerald Canada Corp. received $480,660 cash and 2,438,619 broker's warrants. Each broker warrant is exercisable to purchase one share at an exercise price of 55 cents for an 18-month period.

The company issued a news release on Aug. 10, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
