The TSX Venture Exchange has accepted for filing an amendment No. 3 agreement dated Aug. 24, 2023, between Guanajuato Silver Company Ltd. and a non-arm's-length vendor to amend an amended agreement dated Nov. 11, 2020, and a second amended agreement dated Feb. 17, 2023, to acquire a 100-per-cent interest in certain royalties held by the vendor over the Pinguico project, located near Guanajuato, Mexico. In lieu of a final cash payment of $625,000 due on or before Oct. 16, 2023, the agreement has been amended as follows:

• $125,000 cash due and payable within three business days of execution of amendment No. 3;
• $150,000 cash due shall be payable in 468,750 common shares at a deemed price of 32 cents;
• $350,000 cash due on or before March 15, 2024.
