HTC PURENERGY INC. ANNOUNCES TRANSFER TO THE NEX

In accordance with TSX Venture Exchange Policy 2.5, HTC Purenergy Inc. does not meet the continued listing requirements for a Tier 1 or Tier 2 issuer. The corporation must transfer its shares from trading on the TSX Venture Exchange and transition to the NEX board of the exchange. Effective as of market open on Tuesday, March 4, 2025, the corporation's listing will be transferred to NEX, HTC's tier classification will be changed from Tier 1 to NEX, and the filing and service office will be changed from TSX-V to NEX.

As of March 4, 2025, the corporation is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the corporation will change from HTC to HTC.H. There is no change in the corporation's name, no change in its Cusip number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX-V.

NEX is a separate board of the TSX-V for companies previously listed on TSX-V or Toronto Stock Exchange that have failed to maintain compliance with the continuing financial listing standards of those markets. NEX has been designed to provide a forum for the trading of publicly listed shell companies while they seek and undertake transactions in furtherance of their reactivation as companies that will carry on an active business.
