The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 19, 2023, and July 17, 2023.

Number of shares:  8,535,000 shares

Purchase price:  12 cents per share

Warrants:  4,267,500 share purchase warrants to purchase 4,267,500 shares

Warrant exercise price:  18 cents for a two-year period

Number of shares:  6,465,000 flow-through shares

Purchase price:  12 cents per share

Number of placees:  26 placees

Total existing insider involvement:  1,108,668 (one insider)

Total pro group involvement:  100,000 (one pro group)

Finder's fee:  $32,969.99 cash and 251,416 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 18 cents for a period of two years from the date of issuance.

The company issued a news release on July 18, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
