The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 15, 2023.

Number of shares:  5,402,780 shares

Purchase price:  18 cents per share

Warrants:  2,701,388 share purchase warrants to purchase 2,701,388 shares

Warrant exercise price:  24 cents for a two-year period

Number of shares:  9,041,664 shares

Purchase price:  18 cents per share

Number of placees:  27 placees

Total existing insider involvement:  71,671 (one insider)

Total pro group involvement:  551,111 (two pro groups)

Finder's fee:  $124,207.97 cash and 670,599 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 24 cents for a period of two years from the date of issuance.

The company issued a news release on Dec. 11, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
