NOVA ANNOUNCES RECEIPT OF FINAL ORDER FOR ARRANGEMENT WITH METALLA

The Supreme Court of British Columbia has granted the final order in connection with the previously announced statutory plan of arrangement under Section 288 of the Business Corporations Act (British Columbia), pursuant to which, among other things, Metalla Royalty & Streaming Ltd. will acquire all of the issued and outstanding common shares of Nova Royalty Corp. for consideration consisting of 0.36 of a common share of Metalla in exchange for each whole common share held. As previously announced, the arrangement was approved by the company's shareholders at a special meeting held on Nov. 27, 2023.

Completion of the arrangement remains subject to closing conditions as set forth in the arrangement agreement dated Sept. 7, 2023, between Nova and Metalla, including final approval from the TSX Venture Exchange and the NYSE American LLC, and certain other regulatory approvals and conditions. Assuming that the conditions to closing are satisfied or waived, it is currently expected that the arrangement will be completed on or about Dec. 1, 2023.
