PLANTING HOPE ANNOUNCES NON-BROKERED PRIVATE PLACEMENT

The Planting Hope Company Inc. has proposed a non-brokered private placement financing of up to 40 million subordinate voting share units at a price per unit of 10 Canadian cents for aggregate gross proceeds of up to $4-million (Canadian) (approximately $3-million (U.S.)).

Each unit shall consist of one subordinate voting share (SVS) in the capital of the company and one subordinate voting share purchase warrant. Each warrant shall entitle the holder to acquire one additional subordinate voting share at an exercise price of 15 Canadian cents for a period of 24 months from the closing date of the offering.

The gross proceeds raised from the sale of the units will be used to primarily support inventory purchases and business expansion, as well as general working capital purposes. The company may pay finders' fees on the offering in accordance with applicable laws and the policies of the TSX Venture Exchange.

The securities issued pursuant to the offering will be subject to a hold period of six months from the date of issuance thereof. Closing of the offering is subject to certain conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange.

The offering is expected to close on or about Feb. 2, 2024, and may close in one or more tranches.
