NEXTECH3D.AI DISPOSES OF SECURITIES OF TOGGLE3D.AI INC.

Nextech3D.AI Corp. has disposed of ownership and control of an aggregate of one million common shares of Toggle3D.ai Inc., effective May 17, 2024.

The shares were disposed of pursuant to a private purchase and sale transaction and represent approximately 3.3 per cent of all issued and outstanding shares as of May 17, 2024, resulting in a corresponding change to the aggregate percentage ownership of the company by Nextech3D.AI.

Immediately before the transaction, Nextech3D.AI held an aggregate of 13 million shares, representing approximately 43 per cent of the issued and outstanding shares. Immediately following the transaction, Nextech3D.AI held 12 million shares, representing approximately 39.7 per cent of the issued and outstanding shares at May 17, 2024.

The shares were disposed of for an aggregate purchase price of $50,000. The shares were disposed of in a private transaction and not through the facilities of any stock exchange. The holdings of securities of the company by Nextech3D.AI are managed for investment purposes, and Nextech3D.AI could increase or decrease its investment in the company at any time or continue to maintain its current investment position, depending on market conditions or any other relevant factor.
