Preveceutical Medical Inc. has set the effective date of the reclassification, as well as the previously announced plan of arrangement with BioGene Therapeutics Inc., to occur on Nov. 25, 2025.

Pursuant to the arrangement agreement, 12 million common shares of BioGene Therapeutics will be distributed to the shareholders of Preveceutical. The arrangement will be undertaken by way of a statutory plan of arrangement, whereby the issuer will: (i) rename and redesignate its common shares as Class A common shares without par value; and (ii) amend the authorized share structure of the issuer to create a new class of shares, consisting of an unlimited number of common shares without par value, with terms and special rights and restrictions identical to those of the Preveceutical current shares, immediately prior to the closing of the arrangement.

Upon the effective date, each Preveceutical current share held by Preveceutical shareholders on the effective date of the Arrangement will be exchanged for one new Preveceutical share and 0.02 BioGene spinout share rounded down to the nearest whole share.
