PRIME MINING ANNOUNCES GRANT OF INCENTIVE SECURITIES

Prime Mining Corp. has granted 200,000 incentive stock options and 64,795 deferred share units in accordance with the long-term incentive plan adopted by the company.

The options were granted to an officer of the company and are exercisable at a price of $1.08 per share for a term of five years. The options will vest and become exercisable over an 18-month period, with one-third vesting after six months from the date of grant and further one-third vesting every six months thereafter.

The DSUs were granted to a director of the company and will vest after 12 months. Settlement of the DSUs will occur when the director resigns from the board or in connection with a change of control and is payable in either cash or common shares at the discretion of the board on the settlement date.
