The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 1, 2022, and Jan. 5, 2023.

Number of shares:  18,199,747 subordinate voting shares

Purchase price:  five cents per subordinate voting share

Warrants:  18,199,747 share purchase warrants to purchase 18,199,747 subordinate voting shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  13 placees

Total existing insider involvement:  9,936,567 (four placees)

Finder's fee:  $700 cash and 14,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one subordinate voting share at the price of five cents for two-year period.

The company issued news releases on Jan. 5, 2023, and Jan. 13, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
