The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 12, 2023.

Number of shares:  10 million shares

Purchase price:  five cents per share

Warrants:  five million share purchase warrants to purchase five million shares

Warrant exercise price:  nine cents for a one-year period from the date of issuance, subject to an accelerated expiry

Number of placees:  eight placees

Total existing insider involvement:  2.45 million (two placees)

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
