The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 18, 2023.

Number of shares:  10,388,000 shares

Purchase price:  five cents per share

Warrants:  10,388,000 share purchase warrants to purchase 10,388,000 shares

Warrant exercise price:  eight cents for an 18-month period, subject to acceleration

Number of placees:  10 placees

Total existing insider involvement:  6,048,000 (three insiders)

Total pro group involvement:  240,000 (one pro group)

The company issued news releases on June 13, 2023, and July 18, 2023, confirming the closing of the first and second (final) tranches of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
