Warrant exercise price:  30 cents for a 24-month period

Number of placees:  18 placees

Finder's fee:  $18,050 cash and 84,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 30 cents for period of up to two years from the date of issuance.
