The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 25, 2023.

Number of shares:  2,742,376 common shares

Purchase price:  12 cents per share

Warrants:  2,742,376 share purchase warrants to purchase 2,742,376 shares

Warrant exercise price:  17 cents for a 24-month period

Number of placees:  13 placees

Total existing insider involvement:  416,667 (one insider)

Total pro group involvement:  200,000 (one pro group)

Finder's fee:  $2,604 cash and 21,700 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 17 cents for a 24-month period from the date of issuance.

The company issued news releases on Jan. 4, 2024, and Jan. 9, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
