The TSX Venture Exchange has accepted for filing the company's proposal to issue 4.2 million shares to settle outstanding debt for $210,000.

Number of creditors:  three creditors

Total non-arm's-length-party involvement:  $160,000, 3.2 million shares at five cents (two parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
