The TSX Venture Exchange has accepted for filing the company's proposal to issue 7,039,742 shares to settle outstanding debt for $351,987.10.

Number of creditors:  five creditors

Total non-arm's-length-party involvement:  $81,500, 1.63 million shares at five cents (two parties)

The company shall issue a news release when the shares are issued and the debt is extinguished.
