The TSX Venture Exchange has accepted for filing documentation regarding a memorandum of understanding (MOU) signed on Oct. 27, 2023, between the company and the Nigigoonsiminikaaning First Nation. The MOU pertains to the company's Gold Standard project.

Under the terms of the agreement, the company will make quarterly contributions to a community fund established by Nigigoonsiminikaaning First Nation, proportional to its exploration expenditures:

• 4 per cent of exploration costs incurred between May 1, 2022, and the exchange acceptance of the MOU;
• 3 per cent of the first $10-million in exploration costs after the exchange acceptance;
• 2.5 per cent of exploration costs exceeding $10-million after the exchange acceptance.

The company will also issue a total of 1.3 million common shares of the company to Nigigoonsiminikaaning First Nation, according to the following schedule:

• 100,000 shares upon TSX-V acceptance of the MOU;
• 200,000 shares on the first and second anniversaries of the MOU;
• 400,000 shares on the third and fourth anniversaries of the MOU.
