WINSHEAR ANNOUNCES CHANGE OF AUDITOR
Winshear Metals Corp.
has changed its auditor from McGovern Hurley LLP to Davidson & Company LLP, chartered professional accountants. At the request of the company, the former auditor resigned as the auditor of Winshear, effective May 27, 2026. Winshear's board of directors appointed the successor auditor as the company's auditor, effective May 27, 2026, until the next annual general meeting of the company, where the shareholders of the company will be asked to approve the appointment of the successor auditor as auditor of the company.
The company's audit committee and board of directors approved the resignation of the former auditor and the appointment of the successor auditor in place of the former auditor. The former auditor has not expressed any modified opinion in its audit reports for the period commencing at the beginning of the company's two most recent financial years and ending on the date of the former auditor's resignation, and there are no reportable events (as defined in Section 4.11 of National Instrument 51-102 (Continuous Disclosure Obligations)) in connection with the change of auditor.
The company has sent the notice of change of auditor to the former auditor and the successor auditor. The company has requested the former and the successor auditors' response letters pursuant to Section 4.11 of NI 51-102. If any such letters are not available at the time of this press release, they will be filed on SEDAR+ promptly upon receipt and will be available under the company's profile.
