Number of shares:  eight million common share units (each unit consisting of one common share in the capital of the company and one transferable common share purchase warrant)

Purchase price:  seven cents per unit

Warrants:  eight million warrants to purchase eight million shares

Warrant price:  10 cents, exercisable for a period of 60 months from the date of issuance

Number of placees:  seven placees
