The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 3, 2023.

Number of shares:  10 million shares

Purchase price:  six cents per share

Warrants:  10 million share purchase warrants to purchase 10 million common shares

Warrant exercise price:  eight cents for a five-year period, subject to acceleration

Number of placees:  four placees

Total existing insider involvement:  two million (one insider)

The company issued news releases on Aug. 11, 2023, and Sept. 1, 2023, confirming the closing of the private placement.
