The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced April 21, 2023.

Number of shares:f  7,809,502 common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  45 cents per unit

Warrants:  7,809,502 whole warrants to purchase 7,809,502 shares

Warrant price:  55 cents, exercisable for a period of three years from the date of issuance

Number of placees:  35 placees

Total existing insider involvement:  492,223 (four existing insiders)

Finder's fee:  $61,967.56 and 137,706 warrants (The finder's warrants are exercisable at 45 cents per finder's share for a period of 24 months from the date of issuance.)

The company issued a news release on May 11, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the Warrants, if they are less than the maximum permitted term.
